Our Exchange permits Debt Securities that are sold both through public offering and without public offering to be traded on İMKB Bonds and Bills Market with a view to:
- providing liquidity to private sector debt securities that fail to meet the listing criteria and
- ensuring that the prices of such debt securities are created in an organized and transparent market under competitive conditions.
In this scope, companies may apply to the Exchange
a) to cover all the debt securities to be issued within one-year term
or
b) separately for each issue which covers a certain amount.
"In order that Unlisted Debt Securities are permitted to be traded on the Bonds and Bills Market;
- The Application should have been submitted to cover all the debt securities to be issued;
- The entire amount of the issue must have been offered via public offering,
-The corporation should;
1) Provide the Exchange with its financial statements and independent audit reports which will be included in the prospectus in accordance with the CMB regulations;
2) The corporation’s legal situation in terms of its establishment and activities as well as the legal situation of its securities representing indebtedness must be documented to verify their compliance with the respective legislation,
3) The corporation’s articles of association must not include any provisions restricting the transfer and circulation of the securities to be traded on the Exchange or preventing the shareholders from exercising their rights.
4) The financial, administrative and legal structure of the company must have been determined, as a result of the examination to be conducted, to be exempt of any obstacle which might prevent the trading of such debt securities on the Bonds and Bills Market.
However, the requirements set forth under paragraph (b) and sub-paragraphs 1 and 4 of paragraph (c) of this article shall not be sought in case of applications regarding the trading on the Bonds and Bills Market of debt securities to be issued without public offering. Accordingly, debt securities registered by the Exchange can be traded on the Bonds and Bills Market only between qualified investors in accordance with the principles set forth in the regulations of the Capital Markets Board.
